1. Introduction and Agreement
Welcome to Clovant ("we," "our," or "us"). By accessing or using our website, https://www.clovant.com/ (the "Platform"), you agree to be bound by these Terms and Conditions. Clovant is a Learning Management System (LMS) and community platform that enables individuals and organizations ("Creators") to build, host, and manage online communities, courses, and events, and allows other users ("Members") to join and interact within these spaces.
2. User Accounts and Eligibility
- Age Requirement: You must be at least 18 years of age, or the legal age of majority in your jurisdiction, to create an account.
- Registration: You agree to provide accurate, current, and complete information during registration and keep your account details updated.
- Security: You are strictly responsible for maintaining the confidentiality of your account credentials. You must immediately notify us of any unauthorized use of your account.
- Account Types: Users may interact with the Platform as standard Members or as Creators. Both roles are subject to these terms, but Creators assume additional responsibilities regarding the content and communities they host.
3. Platform Usage and Acceptable Conduct
- Permitted Use: You may use the Platform solely for lawful educational, networking, and community-building purposes.
- Prohibited Conduct: You agree NOT to:
- Use the Platform for illegal or unauthorized purposes.
- Harass, abuse, or harm other users, Members, or Creators.
- Distribute spam, unauthorized advertising, or promotional material.
- Interfere with or disrupt the operation of the Platform or its servers.
- Attempt to reverse-engineer, scrape, or extract source code or data from the Platform.
4. Content and Intellectual Property
- User-Generated Content: Creators and Members retain all ownership rights to the content, courses, comments, and materials they submit ("User Content").
- License to Clovant: By submitting User Content, you grant Clovant a worldwide, royalty-free, non-exclusive license to host, display, and distribute your content solely as required to provide the Platform services.
- Platform Intellectual Property: All Clovant trademarks, logos, domain names, website design, and underlying software are the exclusive property of Clovant. You may not use them without prior written permission.
- Copyright Infringement (DMCA): We respect intellectual property rights. If you believe any content on the Platform infringes your copyright, please contact us to submit a takedown notice.
5. Fees, Payments, and Subscriptions
- Platform Fees for Creators: Creators may be subject to subscription fees or transaction percentage fees to use Clovant's hosting and community features, as outlined on our pricing page.
- Payments by Members: Creators determine the pricing for their specific communities, courses, and events. When Members purchase access, payments are securely processed by our payment partner, Razorpay.
- Taxes: Creators are solely responsible for determining, collecting, and remitting any applicable taxes related to their sales on the Platform.
- Refunds: Purchases made on or through the Platform—including Clovant platform subscriptions, Creator community access, courses, and events—are generally non-refundable, and we do not offer credits for early cancellations or unused billing periods. A refund may be issued at the discretion of the Creator or Clovant (for example, for a duplicate or failed payment). To request one, email admin@clovant.com within 7 days of the payment. Approved refunds are returned to the original payment method through Razorpay, usually within 5–7 business days. A full refund ends your access to the purchased content.
- Cancelling a Subscription: You can cancel a subscription at any time from your billing settings. You keep access until the end of the current billing period, and you will not be charged again.
6. Account Suspension and Termination
- By You: You may close your account at any time by emailing admin@clovant.com from your registered email address. We will delete your account within 30 days, except for records we must keep by law (such as payment and tax records).
- By Clovant: We reserve the right to suspend or terminate your access to the Platform, without notice or liability, if you violate these Terms, engage in fraud, or pose a risk to the Platform or other users.
- Effect of Termination: Upon termination, your right to use the Platform will immediately cease, and all active subscriptions may be canceled.
7. Disclaimers
- The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
- Clovant does not endorse, verify, or guarantee the accuracy, quality, or reliability of any User Content, courses, or communities created by third-party Creators.
- We do not warrant that the Platform will be uninterrupted, error-free, or entirely secure.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Clovant or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of your use or inability to use the Platform. Our total liability for any claim under these Terms shall not exceed the amount you paid to Clovant in the past twelve (12) months.
9. Indemnification
You agree to indemnify, defend, and hold harmless Clovant, its officers, directors, and employees from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, your User Content, or your violation of these Terms.
10. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date or sending an email notification. Continued use of the Platform constitutes your acceptance of the revised Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts at Meerut, Uttar Pradesh, India.
